Coworking Service Agreement

1. Overview

These Terms and Conditions (the "Terms") describe your rights and obligations in connection with your membership and use of services provided by buro. (the "Services"). By using the Services, you are agreeing to abide by and be bound by these Terms and by the House Rules which can be found on our website. Please read them carefully.

2. Who We Are

For the purposes of these Terms, "we," "our," "us," or "buro." refers to NEPJEK Company Limited operating as buro., located at Osu Cose, Plot n. 7, Nyaniba Estates, Accra. We reserve the right to change the legal entity that charges you for the Services.

3. Who You Are

References to "you," "your," and similar words in this Agreement refer to the individual or entity registering for Services and agreeing to be bound by these Terms. If you are entering into these Terms on behalf of an entity, you represent and warrant that you have all necessary right, authority, and consent to bind such entity.

4. What's Covered (Services) & Additional Services

"Services" in these Terms refer to your access to and use of our online member network, member-only events and offerings, space in any of our buro. locations (each, a "Premises"), and certain other related services and features we provide. The exact Services you receive will depend on the specific membership product you have purchased and the features available, which may vary by Premises.

Additional Services may be available to you, either in connection with specific Premises or pursuant to special features or offerings. Additional Terms may apply to these additional Services, and your receipt of any additional Services means you agree to their applicable Additional Terms.

Please note that "Services" do not include products or services provided by third parties ("Third-Party Services") that you may choose to purchase. Third-Party Services are provided solely by the applicable third party and are subject to separate agreements between you and them. We are not responsible for the content of advertisements or any links, products, services, or other materials relating to any Third-Party Services.

5. The buro. Portal & App

To use the Services, you will need to download / access our App / Portal. Your agreement to these Terms, along with our general House Rules and any other policies made available to you, is required to gain access to the Space and your account. Your Portal login details are personal and must not be shared. You are responsible for ensuring the security of your login details and must notify us immediately if you suspect unauthorized access.

6. Changes to Our Services or These Terms

The availability and scope of the Services are subject to change from time to time at our discretion. Our Premises and the Services offered may also change. We may modify, delete, or add to these Terms at any time and will provide you with notice of changes by emailing your registered email address or posting a notice on our App / Portal. Your continued use of the Services following such notice constitutes your agreement to the modified terms. If you do not agree to the changes, you may cancel your membership.

7. Membership Details

  • HOT DESK
    • Day Shift: access Mon–Fri 8:00 AM – 5:00 PM
    • Always: 24/7 access
    • Night Shift: access 6:00 PM – 6:00 AM
    • Sometimes: Mon–Fri 8:00 AM – 5:00 PM, 3 times per week

    Note: Coworking Hot Desk memberships do not guarantee a specific desk at all times. No monitors may be left overnight.

  • DEDICATED DESK: 24/7 access to an assigned desk; includes a locker, mouse, keyboard, and monitor.
  • COWORKING TEAM MEMBER: Access governed by your Company's main membership agreement.

Membership Transferability: You may not transfer your Membership to someone else without our prior written consent.

8. Payments

  • All membership fees are to be paid fully in advance.
  • Your payment method may be automatically charged for fees and damages.
  • Funds are first applied to past due balances.
  • Memberships unpaid 14 days after the due date may attract a 10% penalty and possible suspension.
  • No refund will be given on fees already paid.
  • Team Members: you must pay for services you directly book that aren't covered by your Company's credits.

9. Cancellation & Termination

  • Memberships cannot be paused mid-term.
  • No refunds or passes for missed days.
  • Minimum cancellation notice for Hot Desk and Fixed Desk is 15 days.
  • We reserve the right to change prices without prior notice.
  • We may terminate accounts for noncompliance.

10. Membership Benefits

Additional benefits may be available. Please check the App / Portal or contact the community Manager.

11. Booking Resources

Meeting rooms are for members only. Guests working in the space require a Day Pass. Cancelled bookings less than 12 hours before start incur 50% cancellation fee.

12. Business Address & Mail Handling

Having a coworking membership does not allow you to use buro. as your company address unless purchased separately. Mail up to 20x30x20cm can be received at the Front Desk. buro. is not responsible for contents of mail or packages.

13. Intellectual Property

You must not take, copy, or use any information or intellectual property belonging to other members or to buro. without prior consent.

14. Technology and Privacy

We may need to install software on your devices. You have no expectation of privacy with respect to buro.'s internet and network systems. Activity may be monitored.

15. Property, Liability & Other Members

Your personal property is your responsibility. buro. is not responsible for lost or stolen items. Property left behind may be disposed of. buro. maintains public liability insurance but it does not cover your personal property. You waive claims against buro. Parties. We are not responsible for the actions of other members.

16. Disclaimer of Warranties

The Services are provided “AS IS”. buro. disclaims all warranties to the extent permitted by law.

17. Cooperation in Investigations

You agree to cooperate fully in any investigations. You waive rights against buro. Parties for actions taken during investigations.

18. Indemnification

You will indemnify and hold harmless the buro. Parties from claims, liabilities, and damages resulting from your breach of these Terms or actions of your guests.

19. Governing Law

These Terms shall be governed by and construed under the laws of Ghana.

20. General Provisions

These Terms, along with our House Rules, constitute the entire agreement. They do not grant you any real property interest. Failure to enforce rights does not constitute waiver.

  • Force Majeure: buro. is not liable for failure to perform due to events beyond control.
  • Severability: If any provision is unenforceable, the rest remain in effect.
